1. Accepting these terms
These terms govern your use of Spheromni. You accept them when you create an account, and that acceptance is recorded against the version above with the date and time it happened. You can read that record at any time in Settings, under Privacy.
If you do not accept these terms, do not create an account. If you have one and no longer accept them, delete it — there is no other way to withdraw, because operating your account is what these terms are for. Deletion is described in section 29 and you can do it yourself.
This version has never been in effect and no earlier version has either. When it is finalised by qualified counsel and put into effect, a re-acceptance flow for existing accounts will be needed; that flow does not exist yet, and it is recorded as an open item in docs/legal/legal-review-issues.md.
2. Who may use Spheromni
Spheromni is an adults-only product in this release. You must be an adult in your jurisdiction to hold an account. There are no child or family accounts, no age-appropriate mode, no parental controls and no verified parental consent mechanism, so nobody under the age of majority may use it.
Be clear about how that rule is enforced today, because it matters exactly what kind of enforcement it is. Before you first reach the workspace you are asked to confirm that you are an adult, that confirmation is recorded against your account with the date and time, and you cannot get in without giving it — every account passes that gate, including staff accounts. You can read the record in Settings, under Privacy.
That is an attestation, not a verification. Spheromni collects no date of birth, holds none, and performs no age check of any kind against any source. The restriction is therefore enforced as a gate on what people tell it, and rests on their answer being true. An age-assurance mechanism is an open item for counsel before public launch.
You may hold one account per identity you sign in with. You may not use Spheromni if you are barred from doing so under applicable law, or if your account was previously terminated for a breach of these terms.
3. Registration and signing in
You register by signing in with an identity provider. Spheromni supports Google, GitHub, Apple and LinkedIn; a provider whose credentials are not configured for a deployment is shown as unavailable with the reason, and never as a button that would fail. Email-and-password sign-in does not exist, and no password is stored anywhere in this product.
Spheromni receives from your provider only what it needs to identify the account: a provider identifier, your email address, and where the provider supplies them a display name and avatar. It never receives your provider password. It cannot post as you, read your provider mailbox, or act on your provider account.
If you sign in with a second provider using the same email address, Spheromni asks you to confirm the link before joining the two identities. There is no way to unlink a provider from inside the product yet; that gap is stated in Settings rather than hidden.
4. Account security and your responsibility
Keeping your identity provider account secure is your responsibility — it is the key to your Spheromni account. Use the provider's own two-factor authentication; Spheromni has no second factor of its own to offer you.
You can see every active session for your account in Settings, under Privacy, and sign every other one out with a single control. Do that if you suspect somebody else has access. You are responsible for activity carried out through your account, except where it results from a failure on Spheromni's side.
Spheromni sends no email and no notification of any kind — not for a new sign-in, not for a security event, not for anything. If you want to know what is happening on your account, open the product and look. That is a limitation of this build, and it is stated here because somebody expecting a security alert that will never arrive is worse off than somebody who knows none exists.
5. What you are responsible for
You are responsible for the content you create, store, share or publish through Spheromni, for holding the rights to it, and for its lawfulness where you are. You are responsible for keeping your own copies of anything you cannot afford to lose — see section 22 on availability and section 31 on warranties.
6. Subscriptions, billing, renewal, cancellation and refunds
There are three plans. No price is published for any of them anywhere in the product, no billing provider is configured, no card details are asked for or held, there is no checkout, and no charge has ever been made or can be made. Plans are assigned by Spheromni staff, and every plan resolves to the same entitlements today.
You may cancel your subscription yourself from Settings at any time. It takes effect immediately, because nothing was ever charged for it, and it deletes none of your data. A trial that has been spent stays spent.
Activates with payment, after commercial and legal review: billing periods, renewal, the price and currency of each plan, proration, invoices, failed-payment handling, and any refund window. None of them are in force and none can be relied on now. The detail, and its limits, is in the Subscription Terms and the Cancellation and Refund Policy.
There is deliberately no refund policy in force. A refund is the return of a payment, and no payment can be made.
7. Marketplace purchases
Nothing in the Spheromni store can be bought. Every application listed is first-party and free, and installing one is not a purchase: no money moves, no ledger row is written, and no purchase record is created. Purchase history exists as a surface and is genuinely empty.

8. Your content stays yours
You keep every right you already have in the content you create or store in Spheromni. Spheromni claims no ownership of it, does not sell it, does not license it to anyone, does not use it for advertising, and does not use it to train any model. There is no model in this product to train — see section 24.
9. The licence you grant, and its limits
To run the service you ask for, you grant Spheromni a limited, non-exclusive, worldwide, royalty-free licence to host, store, reproduce and transmit your content solely in order to provide the product to you and to the people you choose to share with. It lasts only as long as you keep the content in Spheromni, and it ends when you delete the content or your account.
For content you deliberately publish — community posts, replies, reactions and your community profile — that licence additionally allows Spheromni to display it to other signed-in members who have community profiles, which is the point of publishing it. It grants no right to sell it, to sublicense it to a third party, or to use it to promote anything.
10. Private content is private
Your files, folders, notes, tasks, calendar entries, searches and companion settings are private to your account. No member of Spheromni staff can read them from any surface in this product: the administration window has no control that could, by design, and the staff answer to a data request is written by a person rather than generated from your documents.
Content becomes visible to somebody else in exactly two ways, and you initiate both: sharing a file or folder with a person you name, and posting in the community. Nothing else crosses that line.
11. Acceptable use
The Acceptable Use Policy forms part of these terms and applies to everything you do with Spheromni, including private use. Read it: it is the specific list, and this section is only the pointer to it.
12. Prohibited conduct
You must not: break the law with Spheromni, or use it to help somebody else do so; infringe anybody's intellectual property; store or distribute material that sexualises children, in any form or context; attack, probe, overload or attempt to gain unauthorised access to Spheromni, its infrastructure or another account; circumvent a rate limit, a quota, a permission check or a moderation decision; impersonate another person or Spheromni itself; scrape or bulk-extract other people's content; or introduce malicious code.
13. The community
The community is separate and opt-in. You are not in it until you create a community profile, and creating one records your acceptance of the Community Guidelines, which form part of these terms for anyone who has joined. Nothing from your private workspace is published there, ever.
You can withdraw that acceptance from Settings, under Privacy. Doing so keeps your account and your existing posts, and blocks new community posting until you accept again.
14. Moderation
Community content is moderated by Spheromni staff. A report is read by a person; there is no automated enforcement. The decisions available are a closed list — dismissal, removing the reported post or reply, a warning, a time-limited suspension, a ban, and reinstatement — each carries a written note shown to you word for word, and each is recorded in an audit trail in the same database operation as the decision itself.
Every decision can be appealed once, from inside the Community app. Outcomes appear there and nowhere else. Moderation applies to the community only: nothing in your private workspace is reviewed, scanned or seen by staff.
15. The marketplace and applications
Every application in the store is built and published by Spheromni. There is no developer portal, no submission route and no third-party account type, so no third-party application exists to install. The Developer Agreement and the Application Review Guidelines are drafts prepared for the point at which that changes.
Any account may apply to become a seller, within the application limit the product enforces. A verified seller can neither list anything nor be paid anything today. See the Seller Agreement.
16. Permissions applications declare
Every application discloses the permissions it declares before you install it, and you can review that disclosure afterwards in Settings, under Privacy. Since Milestone 39, the server checks the resulting grants whenever a request names which application it comes from: what was declared, what you have granted, and what you have revoked is enforced at call time on the surfaces that hold your data. You can revoke or restore individual capabilities in the same Privacy section, and uninstalling an application from the Store window revokes everything it held. One limit stated plainly: every application in this release is Spheromni's own code running as part of the product, so the assertion of which application a request comes from is the product's own, and capabilities that live entirely in your browser (the microphone, browser storage) remain disclosures no server check can reach.
17. External sites and progressive web apps
Spheromni can embed an external site or progressive web app in a sandboxed frame. That site is not Spheromni: it is operated by somebody else, under their terms and their privacy notice, and Spheromni makes no promise about it and takes no responsibility for it. The frame is isolated — it has no access to your Spheromni session, your files, or anything else in your account.
18. Storage providers
You may connect your own Google Drive so that its files appear in Spheromni. That connection is a separate, explicit consent, it is read-only, and you can disconnect it at any time from Settings, which deletes the stored access grant and the cached Drive metadata.
Drive file contents are held in your Google account, not on Spheromni's servers. Your relationship with Google is governed by Google's terms, not by these. If your Drive becomes unavailable, so do those files inside Spheromni.
19. Sharing files with other people
You can invite named people to a file or a folder and take that access away again. There is no public link and no way to publish a file to the open internet. An invitation carries the invitee's email address and expires.
20. Offline use
Spheromni installs as a progressive web app and keeps some of your work available on your device when it cannot reach the server: the text of files you opened, edits you made offline, and a list of recently opened file names. All of it stays on that device, and signing out deletes it — telling you first how many unsent edits would go with it.
21. Beta status
Spheromni is pre-launch software under active development. Features appear, change and are removed. Nothing here is offered as a stable platform to build a business on, and no feature is promised for any date.
22. Availability
There is no uptime commitment and no service level agreement. Spheromni may be unavailable, may be taken down for maintenance without notice, and may lose data. There is no backup you can restore from and no recovery window after a deletion. Keep your own copies of anything important.
23. Beta and experimental features
Some features sit behind flags that Spheromni staff can turn on and off. Such a feature may be withdrawn without notice, and data associated with it may not survive its withdrawal.
24. AI features
There is no artificial intelligence in this product. No machine-learning model, no large language model and no AI service of any kind is used anywhere in it. The companion is a small animated character whose movement and personality are deterministic code driven by explicit seeds; it does not understand you, does not learn, and holds no memory of your content. Nothing you write is sent to any AI provider, and nothing you store is used to train any model — neither by Spheromni nor by anyone else.
25. Voice features
Voice is push-to-talk: recognition starts only while you hold the talk control and stops when you release it. Spheromni performs no recognition of its own — it uses your browser's built-in speech recognition and never receives, records or stores audio, only the text your browser hands back. Commands are matched against a fixed list; anything that does not match does nothing.
One part of that arrangement is outside Spheromni's control and is disclosed rather than hidden: your browser may send the audio to its own vendor's speech service in order to transcribe it. That is a property of the browser you chose, not of Spheromni, and the Voice window says so at all times.
Voice history, where you turn it on, is kept in your browser on your device and is never sent to Spheromni.
26. Self-hosting
Spheromni is not distributed for self-hosting and these terms grant no self-hosting licence. Self-hosted deployment is a deferred item with no committed milestone; if it happens, it will carry its own licence terms.
27. Spheromni's intellectual property
Spheromni, its name, its interface, its design system and its companion character are owned by [SPHEROMNI RESPONSIBLE ENTITY — TBD]. These terms grant you a personal, non-transferable, revocable right to use the product as it is offered, and nothing more. You may not copy, reverse-engineer, resell or create derivative works from it.
28. Copyright and intellectual-property complaints
If you believe content in the Spheromni community infringes your rights, report it from the Community app. Understand the limits of what exists today: there is no dedicated copyright complaint route, no formal notice-and-takedown procedure, no counter-notice process and no designated agent. The report reason list is a closed set that does not include copyright, so an infringement report arrives as a general report and is read by a person. A proper procedure is an outstanding document in the legal checklist and an open item for counsel.
29. Ending your account
You can delete your account yourself, from Settings, under Privacy. It takes effect immediately and it is irreversible: the account goes and everything cascading from it goes with it — your files and folders, installed applications, community profile with its posts and replies, consent history, sessions and privacy requests. There is no recovery window, no grace period and no backup copy. What survives is one audit row recording that an account was deleted, which does not identify you.
Two kinds of account cannot delete themselves, and are told why rather than refused silently: the platform's super administrator, and an account holding a seller record — seller records carry obligations a person must review. Both are directed to the staff-reviewed deletion request in the same window.
Spheromni may suspend or terminate an account that breaches these terms. A suspension states its reason and its end date; a termination is recorded in the audit trail. Sections 5, 8, 27, 31, 32, 33 and 34 survive termination.
30. Exporting your data
You can download a copy of what Spheromni holds about your account, as a single JSON file, from Settings, under Privacy. It is generated when you ask for it, and it includes a written statement of what it does not contain and why — Drive file contents, which live in your own Google account; secrets, which are never exported; staff-side records, which go through a reviewed request; data that only ever existed on your device; and other people's content.
31. No warranty
Spheromni is provided “as is” and “as available”, without warranty of any kind, express or implied, including any implied warranty of merchantability, fitness for a particular purpose, title or non-infringement. No information you obtain from Spheromni creates any warranty. Some jurisdictions do not allow the exclusion of certain warranties, in which case this section applies to the fullest extent those laws permit.
32. Limitation of liability
To the fullest extent the law allows, [SPHEROMNI RESPONSIBLE ENTITY — TBD] is not liable for indirect, incidental, special, consequential or punitive damages, or for lost profits, lost revenue, lost data or lost goodwill, arising out of your use of Spheromni.
The monetary cap on liability is [LIABILITY CAP — TBD BY COUNSEL]. It cannot be drafted honestly yet: the usual formulation caps liability at what you paid in the preceding period, and nobody has ever paid anything, so a cap of zero would be a drafting artefact rather than a considered position. Nothing in this section limits liability that cannot be limited by law, including for death, personal injury or fraud.
33. Indemnity
You agree to indemnify [SPHEROMNI RESPONSIBLE ENTITY — TBD] against claims, damages and reasonable costs arising from content you put into Spheromni, from your breach of these terms, or from your infringement of somebody else's rights — except to the extent the claim arises from Spheromni's own act or omission.
34. Governing law
These terms are governed by the law of [PRIMARY JURISDICTION — TBD]. That placeholder is unresolved and blocks finalisation of this document; it is not standing in for a jurisdiction that has been chosen and simply not written down.
35. Disputes
Dispute resolution is [DISPUTE RESOLUTION — TBD BY COUNSEL]. Whether disputes go to the courts of the governing jurisdiction or to arbitration, whether class actions are waived, and which consumer protections apply all depend on the jurisdiction above and on consumer law that has not been reviewed. Nothing is asserted here that would waive a right you have.
Before any of that, write to [PRIVACY CONTACT — TBD] — most things are resolved that way, and asking triggers no dispute procedure.
36. Changes to these terms
These terms may change. A material change will be recorded as a new version in the change history above and will require acceptance before you continue using Spheromni. Note the honest limit: this build has no re-acceptance flow for a terms change, and sends no notice of one. Building it is a tracked open item, and it must exist before these terms are put into effect.
